Terms of Service

Welcome to The AI Matcher, operated by AIM Digital LLC, a Florida limited liability company. By accessing or using our platform at theaimatcher.ai, you agree to be legally bound by these Terms of Service. If you do not agree to these Terms, you must not access or use the Platform. Your continued use following any modification constitutes your acceptance of the modified Terms. We reserve the right to modify these Terms at any time with 14 days notice.

"Platform" means theaimatcher.ai and all associated services. "Client" means any user who posts job briefs or hires builders. "Builder" or "Talent" means any user who offers services through the Platform. "Contract" means any agreement between a Client and Builder facilitated through the Platform. "Transaction" means any payment or exchange of services arranged through the Platform. "Off-Platform Transaction" means any transaction made outside the Platform that originated from a connection made on the Platform.

To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By registering, you confirm all information provided is accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and all activity that occurs under your account. Notify us immediately at legal@theaimatcher.ai if you suspect unauthorized use.

The AI Matcher provides a two-sided marketplace connecting Clients who need AI talent with Builders who offer AI development, automation, prompt engineering, LLM fine-tuning, and consulting services. The Platform acts solely as an intermediary. We do not employ Builders, guarantee the quality of services, or guarantee that Clients will hire or pay. All Contracts are directly between Clients and Builders.

Current fee structure: BUILDERS: - Free tier: $0/month — 25% transaction fee - Pro Builder: $29/month — 8% transaction fee - Elite Builder: $79/month — 5% transaction fee - Agency: $149/month — 0% transaction fee CLIENTS: - Starter: $0/month — 15% service fee - Growth: $59/month — 5% service fee - Studio: $99/month — 0% service fee - Scale: $199/month — 0% service fee Subscription fees are billed monthly or annually in advance and are non-refundable except as required by law. Transaction fees are automatically deducted from payments before disbursement to Builders. All payments are processed by Stripe.

⚠ THIS IS ONE OF THE MOST IMPORTANT SECTIONS. READ CAREFULLY. The AI Matcher's ability to provide services is funded by transaction fees. Taking transactions off-platform to avoid these fees is strictly prohibited. WHAT CONSTITUTES CIRCUMVENTION: - Sharing personal contact information to conduct transactions outside the Platform - Accepting payment for services outside the Platform's escrow for work that originated through a Platform connection - Agreeing to continue work with a Client or Builder outside the Platform after an initial Platform contract - Using the Platform solely to identify clients or talent and conducting all business elsewhere CIRCUMVENTION PENALTIES: - Sharing contact info to avoid platform: $250 fine (first offense), $500 + suspension (repeat) - Completing transaction off-platform: 20% of contract value + suspension (first), permanent ban + legal action (repeat) - Ongoing relationship moved off-platform: 25% of total estimated contract value + permanent ban - Soliciting users off-platform: $500 fine + 30-day suspension (first), permanent ban (repeat) MINIMUM PENALTY: The minimum circumvention penalty is $1,000 regardless of actual transaction amount, based on a minimum assumed contract value of $5,000.

The Platform uses Stripe Connect to hold payments in escrow until contracts are completed and approved. FUNDS RELEASED TO BUILDER WHEN: - Client approves completed work - Automatic release after 5 business day review period with no dispute filed - Dispute resolved in Builder's favor FUNDS RETURNED TO CLIENT WHEN: - Mutual cancellation before work begins - Builder fails to deliver without communication - Dispute resolved in Client's favor - Fraud is confirmed by The AI Matcher A 2% processing fee applies to all refunds to cover payment processing costs.

All users agree NOT to: - Post false, misleading, or fraudulent information - Submit plagiarized work as original without disclosure - Create fake reviews or manipulate the rating system - Harass, threaten, or abuse other users - Attempt to gain unauthorized access to accounts or systems - Use automated tools to scrape or extract Platform data - Create multiple accounts to circumvent restrictions or fees - Violate any applicable law or regulation Violations may result in immediate account termination, forfeiture of escrowed funds, and legal action.

⚠ BINDING ARBITRATION NOTICE: This section contains a binding arbitration clause and class action waiver. PLATFORM DISPUTE PROCESS: Step 1 — Filing (Day 1): Disputing party submits evidence through the Dispute Center. A non-refundable $25 filing fee applies, refunded if you win. Step 2 — Response (Days 2–4): Opposing party has 3 business days to respond. Step 3 — Review (Days 5–10): AI Matcher Resolution Team reviews evidence and renders a decision. Step 4 — Decision: Communicated via email. Funds released or returned accordingly. Step 5 — Appeal (Days 11–14): Either party may appeal within 3 business days with new evidence. Appeals are final. BINDING ARBITRATION: Disputes with The AI Matcher are resolved through binding arbitration administered by the American Arbitration Association (AAA) in Hillsborough County, Florida. CLASS ACTION WAIVER: You and The AI Matcher each waive the right to bring or participate in any class action. All claims must be brought individually.

⚠ CHARGEBACK ABUSE HAS SERIOUS CONSEQUENCES. USE PLATFORM DISPUTES FIRST: All users must use the Platform's dispute resolution process before initiating a bank chargeback. Filing a chargeback without completing our dispute process is a material breach of these Terms. LEGITIMATE CHARGEBACK GROUNDS: - Unauthorized use of your payment method by a third party - A charge that does not appear in your Platform transaction history - Duplicate charges for the same transaction NOT LEGITIMATE CHARGEBACK GROUNDS: - Dissatisfaction with work not reported through our dispute process - Work approved without filing a dispute in time - Subscription fees not cancelled before billing - Transaction fees per the agreed fee schedule CHARGEBACK PENALTIES: - $50 chargeback processing fee for all illegitimate chargebacks - Account suspended pending investigation - Permanent ban for repeat offenders - Legal action to recover all amounts owed

DEFAULT IP TERMS (unless otherwise agreed in writing): - Work Product: Upon full payment, the Builder assigns all rights in the delivered work to the Client. - Pre-existing IP: Builders retain ownership of tools and frameworks created before the contract. Builders grant the Client a perpetual non-exclusive license to use pre-existing IP as incorporated in the work. - Platform IP: The AI Matcher retains all rights to the Platform, algorithms, and branding.

To the maximum extent permitted by law, The AI Matcher shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. The AI Matcher's total liability for any claim shall not exceed the greater of: (a) total fees paid by you in the 12 months preceding the claim, or (b) $500.

Either party may terminate their account at any time. We may suspend or terminate your account immediately without notice if you violate these Terms. Upon termination: - Your right to use the Platform ceases immediately - Escrowed funds are handled per Sections 7 and 9 - Subscription fees are non-refundable - Outstanding fees and penalties remain due - Sections 6, 9, 10, 11, and 12 survive termination

These Terms are governed by the laws of the State of Florida. Any legal action not subject to arbitration shall be brought in Hillsborough County, Florida courts. If any provision of these Terms is unenforceable, the remaining provisions continue in full force.
